1. Definitions

  • "You," "Your," "Client" refers to the individual or organization accessing our website or engaging our services.
  • "Services" refers to the AI integration consulting services we provide, including ethics framework development, analytics implementation, and transformation office setup.
  • "Website" refers to voxlianea.pro and all associated pages and content.
  • "Agreement" refers to these Terms and Conditions and any service-specific agreements entered into between you and voxlianea.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our website or services.

voxlianea provides AI integration consulting services including, but not limited to:

  • AI ethics and governance framework development
  • AI-powered analytics implementation
  • AI transformation office setup and organizational guidance

Specific services, deliverables, timelines, and fees will be outlined in individual service agreements or statements of work.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Provide timely access to relevant personnel, systems, and documentation as required
  • Respond to requests for information or feedback in a timely manner
  • Comply with all applicable laws and regulations in connection with our services
  • Maintain confidentiality of any sensitive information shared during the engagement

5. Payment Terms

Payment terms for our services are specified in individual service agreements. General payment terms include:

  • All fees are quoted in Thai Baht (฿) unless otherwise specified
  • Payment is typically required in advance or according to milestone schedules outlined in the service agreement
  • Late payments may be subject to interest charges as permitted by Thai law
  • All fees are exclusive of applicable taxes, which are the responsibility of the client

Refund policies, if applicable, will be specified in the individual service agreement.

6. Intellectual Property

6.1 Our Intellectual Property

All methodologies, frameworks, templates, and tools we use in providing our services remain our intellectual property. You receive a limited, non-exclusive license to use deliverables created for you solely for your internal business purposes.

6.2 Client Data and Materials

You retain all rights to data, information, and materials you provide to us. By providing these materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.

6.3 Work Product

Upon full payment, you will own the specific deliverables created for you (such as governance documents, analytics models, or strategic plans). However, we retain the right to use general knowledge, techniques, and methodologies developed during our engagement in our future work.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of our services.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties without confidentiality obligations.

8. Disclaimers

Our services are provided on an "as is" basis. While we strive to deliver high-quality consulting services, we make no warranties or guarantees regarding specific outcomes or results.

We do not guarantee that AI systems, frameworks, or processes developed during our engagement will achieve specific business results or performance metrics. The effectiveness of AI implementations depends on many factors including data quality, organizational adoption, and external market conditions.

Our services constitute professional advice and guidance, not legal, financial, or technical implementation guarantees. You remain responsible for final decisions regarding AI adoption and deployment within your organization.

9. Limitation of Liability

To the maximum extent permitted by Thai law, our liability for any claims arising from our services shall be limited to the fees paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless voxlianea, its employees, and affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

11. Termination

Either party may terminate a service engagement as specified in the individual service agreement. Generally:

  • Either party may terminate for convenience with thirty days written notice
  • Either party may terminate immediately for material breach if the breach is not cured within fifteen days of written notice
  • Upon termination, you remain responsible for payment of fees for services rendered up to the termination date

Provisions regarding confidentiality, intellectual property, payment obligations, and limitation of liability survive termination.

12. Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including natural disasters, government actions, labor disputes, or telecommunications failures.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails within thirty days, either party may pursue legal remedies.

14. General Provisions

14.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between you and voxlianea regarding our services.

14.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to affiliates or in connection with a merger or sale of assets.

15. Changes to Terms

We may update these Terms and Conditions from time to time. We will notify you of significant changes by posting a notice on our website or sending you an email. Your continued use of our services after such notification constitutes acceptance of the updated terms.
